Indemnification clauses? Scared to sign...

Hello everybody,

I just received Fullscreen's contract to get partenered, but one thing scares me a little bit.

They want Youtubers to upload at least 2 videos each month. Unfortunately, because of studies I can't do it. Besides, I prefer to do less videos but with a good content than post lots of bad quality materials.
Do you know if in practice, there is more freedom?

On this forum I've read also about "indemnification clauses". What does it stand for? In which cases is it applied? I wouldn't like to must pay extra money because I don't upload enough...

In the worse case, what happens if I don't upload enough material?

You could always make backup videos if you needed to so that you could have 2 videos a month. A lot of people do that. Or if you can't make a full fledged video, you could just make a simple vlog.
 
Indemnification clauses typically protect the larger party from being sued. You'll see this in a ton of employment contracts. Basically it's a "if we do something wrong, you agree not to sue us". Though read the full contract. Sometimes it can mean "you agree to resolve this via a neutral third party, rather than to take us to court."

Indemnification clauses are iffy - in many cases they're considered non-enforceable (if they're too broad, try to protect the party from personal injury suits, etc). But they're included a ton of the time to try and discourage employees from bringing suits.

But this is largely a case-law issue, so if you're concerned about it, I'd speak with an attorney who's familiar with the state laws where the contract will be enforced. Then again, it's pretty rare that a YouTube will have the assets available to sue anyway...so it may be a moot point.
